Terms of Use

1. Scope

These Terms of Use apply to the website operated by Semirai ("we", "us") at https://semirai.com/en (the "Site") and all services provided on it (the "Services"). By browsing the Site or registering for the Services, you agree to these terms. Additional conditions shown on an application page form part of these terms; where they conflict, the additional conditions prevail.

2. Accounts

1. You may register a free account by following the procedure we specify. Please provide accurate information and keep it up to date from your account page.
2. We may refuse a registration if the applicant has violated these terms, provided false information, or is otherwise considered inappropriate.
3. Your account is for your personal use only and may not be transferred or lent to anyone else.
4. One account can be used on all language versions of Semirai.

3. Paid plans, fees and billing

1. Paid plans (Premium and Corporate) are offered on a monthly or yearly basis. Prices are shown in US dollars on your account page. Payment is made by credit card through Stripe, Inc.; we do not store your card number.
2. The paid service officially launches on December 1, 2026. If you subscribe before that date, the period until December 1, 2026 is free and your first payment is charged on December 1, 2026. If you cancel before then, you will not be charged.
3. Plans renew automatically at the end of each billing period, and the fee for the next period is charged at renewal, unless you cancel.
4. If we change prices, we will notify you on the Site or by email at least 30 days in advance. New prices apply from the first billing period that starts after the change.
5. Taxes, if any, are shown at checkout. Your card issuer may charge currency conversion or foreign transaction fees.

4. Cancellation and refunds

1. You can cancel at any time from "Manage subscription" on your account page. Cancellation stops the next renewal; you can keep using the plan until the end of the period you have paid for.
2. Because the Services are digital content delivered online, fees already paid are not refundable, and we do not offer prorated refunds for cancellation in the middle of a period. However, if we fail to provide the Services for reasons attributable to us, we will refund the affected period.

5. Use of data and diagrams

CSV and Excel files downloaded from your account page, diagram files and PDF documents ("Materials") may be used as follows. When you reproduce them, credit the source as "Source: Semirai (semirai.com)".

1. Premium plan: your own work, study or research, and internal company documents (reports, study groups, training).
2. Corporate plan: in addition, use by up to 10 people in the contracting company, and external materials such as customer proposals, seminars and trade show documents.
3. You may not redistribute, resell or publish the Materials to third parties, with or without charge (including posting them on websites, social media or shared storage).
4. You may not use the Materials, in whole or in part, for other databases or services, or as training data for generative AI, without our permission.
5. You may not share download links or your account with third parties.

6. Prohibited conduct

When using the Site and the Services, you must not:

1. violate laws or public order and morals;
2. infringe the copyrights, trademarks or other rights of Semirai or third parties;
3. collect or copy the Site's content in bulk by automated means (ordinary crawling by search engines excepted);
4. place an excessive load on our servers or networks, or interfere with their operation;
5. access or attempt to access the Services without authorization;
6. register, contact us or apply with false information, or impersonate another person;
7. engage in any other conduct we reasonably consider inappropriate.

7. Intellectual property

Copyright and other intellectual property rights in the articles, diagrams, tables, data and images on the Site belong to us or their rightful owners. Apart from fair quotation permitted by law, you may not reproduce, republish or adapt them without permission. When quoting, please credit "Semirai" and the page URL. Company and product names on the Site are trademarks or registered trademarks of their respective owners.

8. Disclaimer

1. We strive for accuracy, completeness and timeliness but make no warranties. Information on the Site is for reference only and is not investment advice; you are responsible for your own investment, purchasing and technical decisions.
2. We are not liable for damages arising from your use of information on the Site, except in cases of our willful misconduct or gross negligence.
3. We are not responsible for the content of external websites linked from the Site.

9. Changes, suspension and termination of the Services

We may suspend all or part of the Services without prior notice for maintenance, natural disasters, failures or other unavoidable reasons, and may change or end the Services. If we end a paid plan, we will notify subscribers in advance and refund any prepaid period that cannot be provided.

10. Suspension of use

If you violate these terms, we may suspend your use of the Services or delete your account without prior notice.

11. Personal information

We handle personal information in accordance with our Privacy Policy.

12. Changes to these terms

We may change these terms. We will announce the revised terms and their effective date on the Site; if you continue to use the Services after that date, you are deemed to have agreed to the revised terms.

13. Governing law and jurisdiction

These terms are governed by the laws of Japan. The district court having jurisdiction over our location shall have exclusive jurisdiction in the first instance over any dispute relating to the Services.
